1. Agreement and Acceptance
This End User License Agreement ("EULA", "Agreement") is a legal agreement between you ("you", "your", or "User") and Frank System Inc. ("Frank System Inc.", "we", "us", or "our") concerning your use of FSI Defence Security Endpoint Protection ("FSI Defence Security", the "Software", or the "Service").
By downloading, installing, activating, accessing, or using the Software, you acknowledge that you have read, understood, and agree to this EULA.
If you do not agree to this EULA, do not install, activate, or use the Software.
2. Relationship to Other Terms
This EULA forms part of the legal terms governing FSI Defence Security and should be read together with our:
- Terms & Conditions
- Privacy Policy
- Refund & Cancellation Policy
- Subscription Policy
- Cookie Policy
- Acceptable Use Policy
If a separate written agreement signed by Frank System Inc. applies to a particular business or enterprise customer, that agreement may govern to the extent of any conflict.
3. Grant of License
Subject to your compliance with this EULA, payment of applicable fees, and the applicable subscription or license terms, Frank System Inc. grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Software on supported devices for the purpose of obtaining the endpoint protection functionality included with your purchased plan.
This is a license to use the Software. It is not a sale or transfer of ownership of the Software or any intellectual property contained in the Software.
4. License Term
The license remains effective for the period associated with the applicable purchased license or subscription, unless terminated earlier under this EULA or another applicable agreement.
If the applicable subscription expires, is cancelled, is terminated, or becomes inactive, your right to use subscription-based features may end or be suspended.
5. License Key
A license key or other activation credential may be issued to authenticate your entitlement to use FSI Defence Security.
The license key is intended for the customer and authorized use associated with the purchased license.
You must not sell, publish, distribute, share, sublicense, rent, lease, or otherwise transfer a license key except where expressly authorized by Frank System Inc. in writing.
6. License Activation
Activation may require an internet connection and communication with FSI Defence Security licensing systems.
Activation may associate the license with your customer account, protected device, installation, or other technical identifiers necessary to administer the license.
License activation may be required before certain Software features become available.
7. Device Limits
Your license may permit use on a specified maximum number of devices. The applicable device limit is determined by the plan or license purchased.
You must not intentionally bypass, disable, manipulate, or circumvent technical mechanisms used to enforce applicable device or license limits.
Removing the Software from one device does not necessarily transfer or reset a license entitlement immediately. Device management may be subject to the licensing system and applicable account controls.
8. Permitted Use
You may use the Software only for lawful purposes and in accordance with this EULA, your purchased plan, and applicable law.
You may install and operate the Software on supported devices that you own, control, or are otherwise authorized to protect.

10. Security Features
FSI Defence Security is designed to provide endpoint protection and related security functionality.
Depending on the version and enabled features, the Software may monitor system activity, identify potentially harmful activity, provide security alerts, perform scans, or take protective actions.
Security functionality may vary by product version, operating system, configuration, subscription plan, and technical environment.
11. No Guarantee of Complete Protection
No security software can guarantee detection, prevention, or removal of every malicious program, threat, vulnerability, attack, or other security incident.
FSI Defence Security is intended to reduce security risks and provide protective functionality, but it should not be treated as a guarantee that a device, network, account, or data will never be compromised.
Customers remain responsible for maintaining appropriate security practices, operating-system updates, application updates, backups, passwords, and other reasonable safeguards.
12. Software Updates
FSI Defence Security may periodically receive software updates, security updates, bug fixes, improvements, definitions, configuration changes, or other updates.
Updates may be required to maintain compatibility, security, reliability, or functionality.
Some updates may be installed automatically where technically necessary or where enabled by the applicable product configuration.
13. Internet and System Requirements
Certain features may require an active internet connection, compatible operating system, supported hardware, or other technical requirements.
You are responsible for maintaining the internet connection, compatible device, and system environment necessary to use the Software.
14. Third-Party Software
The Software may interact with operating-system components, third-party applications, security services, networks, or other technologies not owned or controlled by Frank System Inc.
Third-party software and services may be governed by separate terms and licenses.
Frank System Inc. is not responsible for third-party software, services, policies, or availability except to the extent required by applicable law.
15. Open Source Components
The Software may include or interact with components distributed under open-source licenses.
Where applicable, those components remain subject to their respective open-source license terms. Nothing in this EULA is intended to restrict rights granted to you under an applicable open-source license.
16. Ownership and Intellectual Property
Frank System Inc. and its licensors retain all right, title, and interest in and to the Software, including its source code, object code, design, interfaces, documentation, trademarks, service marks, logos, and other intellectual property.

- License abuse or device-limit violations
- Security threats
- Material violation of this EULA
- Material violation of another applicable agreement
- Legal or regulatory requirements
Where appropriate and legally permitted, we may provide an opportunity to correct the issue before permanent termination.
22. Termination
This EULA may terminate when the applicable license or subscription expires, is cancelled, is terminated, or is otherwise no longer valid.
Frank System Inc. may also terminate or revoke the license where permitted by this EULA, the Terms, or applicable law.
Upon termination, you must stop using the Software and may be required to uninstall it from devices where your license no longer permits use.
23. Effect of Termination
Termination or expiration of a license does not affect rights, obligations, or provisions that by their nature should survive termination.
Provisions concerning intellectual property, restrictions, disclaimers, limitations of liability, dispute resolution, and other surviving obligations may continue after termination to the extent permitted by applicable law.
24. Refunds
Refund eligibility is governed by the Refund & Cancellation Policy .
In particular, activation or use of a digital license may affect refund eligibility. Except where required by applicable law, cancellation or termination after license activation does not automatically create a refund right.
25. Disclaimer of Warranties
To the maximum extent permitted by applicable law, the Software and Service are provided subject to the warranties and limitations expressly stated in the applicable agreements.
We do not warrant that the Software will detect every threat, operate without interruption, be completely error-free, or protect against every possible security incident.
Nothing in this EULA excludes a warranty or consumer protection that cannot legally be excluded or limited.
26. Limitation of Liability
To the maximum extent permitted by applicable law, Frank System Inc. will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to the use or inability to use the Software.

You agree not to use, export, re-export, transfer, or provide the Software in violation of applicable export-control, sanctions, or other applicable laws.
29. Government and Business Use
Government, enterprise, or business customers may be subject to additional contractual terms, procurement requirements, security requirements, or licensing conditions.
Where a separate written agreement applies, that agreement governs to the extent of any inconsistency.
30. Changes to the Software
Frank System Inc. may modify, update, improve, replace, suspend, or discontinue portions of the Software or Service from time to time.
Where a change materially affects a customer's rights and applicable law requires notice or another process, we will comply with those requirements.
31. Changes to This EULA
We may update this EULA from time to time to reflect changes in the Software, Service, business practices, or applicable legal requirements.
The "Last Updated" date at the beginning of this page identifies the most recent revision.
Where required by applicable law, material changes will be communicated through an appropriate notice or consent process.
32. Severability
If any provision of this EULA is determined to be invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will continue in effect to the extent legally permitted.
33. No Waiver
Failure by Frank System Inc. to enforce any provision of this EULA does not constitute a waiver of its right to enforce that provision later.
34. Assignment
You may not assign, transfer, sublicense, or otherwise transfer your rights under this EULA without our prior written consent, except where such restriction is prohibited by applicable law.
Frank System Inc. may assign this Agreement in connection with a merger, acquisition, corporate restructuring, or transfer of the relevant business or assets, subject to applicable law.
