Subscription & Auto-Renewal Policy
Endpoint Protection
Operated by Frank System Inc.
1. Purpose of This Policy
This Subscription & Auto-Renewal Policy explains the recurring billing, renewal, cancellation, suspension, and termination rules applicable to subscription plans offered by FSI Defence Security Endpoint Protection ("FSI Defence Security", the "Service", "Software", "we", "us", or "our"), operated by Frank System Inc.
This policy forms part of the terms governing your use of the Service and should be read together with our Terms & Conditions , Refund & Cancellation Policy , and End User License Agreement .
2. Subscription Plans
FSI Defence Security may offer subscription plans with different features, device limits, prices, and billing intervals.
Available plans and pricing are displayed on the website at the time of purchase. The plan selected by the customer determines the applicable price, billing interval, service features, and license limits.
We may offer, among other plans:
- Monthly subscriptions
- Yearly subscriptions
- Business subscriptions
- Enterprise or custom subscription arrangements
Specific plans and availability may change from time to time.
3. Subscription Start Date
A subscription generally begins after successful payment verification, account activation, and creation or activation of the applicable license, unless a different start date is expressly stated at purchase.
The subscription period and associated license period are determined by the purchased plan and applicable billing interval.
4. Billing Intervals
A subscription may be billed monthly, annually, or according to another billing interval expressly presented to the customer.
The billing interval selected during checkout determines when the subscription is scheduled for renewal.
For example, a monthly subscription normally renews approximately every month, while a yearly subscription normally renews approximately every year, subject to the applicable billing system and payment processing.
5. Subscription Price
The subscription price applicable to the customer is the price displayed at the time the order is placed, unless otherwise stated.
Prices may be displayed in U.S. dollars or another currency supported by the applicable checkout process.
Taxes or other legally required charges may apply depending on the customer's location and applicable law.
6. Customer Authorization for Recurring Billing
By purchasing a recurring subscription, the customer authorizes the applicable payment processor to charge the selected payment method for the subscription and applicable renewal charges.
The customer agrees that recurring charges may continue until the subscription is properly cancelled, suspended, terminated, or otherwise ends according to the applicable terms.
Customers should maintain a valid payment method and ensure that their billing information remains accurate.
7. Automatic Renewal
Unless a subscription is cancelled before the applicable renewal date, recurring subscriptions may automatically renew for another billing period of the same type.
The renewal charge will generally be based on the subscription price applicable at the time of renewal, subject to any promotional pricing, contractual pricing arrangement, or other terms expressly applicable to the customer.
Cancelling a subscription prevents future renewal charges but does not automatically reverse a renewal payment that has already been successfully processed.
8. Changes to Renewal Pricing
Frank System Inc. may change subscription pricing in the future.
Where a price change affects a recurring subscription, we will provide notice where required by applicable law or otherwise reasonably appropriate.
If a customer does not wish to continue at a new renewal price, the customer should cancel the subscription before the applicable renewal date.
9. Cancellation by Customer
Customers may cancel a recurring subscription using the cancellation method made available by Frank System Inc. or by contacting Customer Service or Billing.
A cancellation request should be submitted sufficiently before the next scheduled billing date to allow the cancellation to be processed.
A customer remains responsible for a renewal charge if the cancellation request is received or processed after that renewal has already occurred.
10. Effect of Cancellation
Unless otherwise stated or required by applicable law, cancellation generally stops future recurring billing while allowing the customer to use the Service until the end of the already-paid subscription period, provided the account and license remain in good standing.
Cancellation does not automatically delete the customer's account, transaction records, or other information that we are permitted or required to retain.
11. Cancellation Does Not Automatically Mean Refund
Cancelling a subscription is different from requesting a refund.
Unless otherwise required by applicable law or approved under our Refund & Cancellation Policy, subscription payments already processed are not automatically refundable merely because the customer subsequently cancels.
In particular, where a license has already been activated, the applicable refund restrictions described in our Refund & Cancellation Policy apply.
12. License Activation
Subscription customers may receive a digital license associated with their purchased plan.
Once the license is activated, the customer receives access to the applicable digital Service subject to the subscription terms, device limits, EULA, and other applicable policies.
Activation may therefore affect refund eligibility as described in the Refund & Cancellation Policy.
13. Failed or Declined Renewal Payment
If a recurring payment cannot be successfully processed, the subscription may not renew.
Depending on the circumstances, the payment processor or Frank System Inc. may attempt to process the payment again or provide the customer with an opportunity to update payment information.
If payment remains unsuccessful, the associated subscription and license may be suspended or expire.
14. Expired Subscriptions
If a subscription expires because the applicable term has ended without a successful renewal, access to subscription-based features may be discontinued.
The associated license may be marked expired, suspended, or otherwise inactive according to the Service's licensing system.
15. Subscription Suspension
A subscription may be suspended where reasonably necessary because of:
- Failed or reversed payment
- Payment disputes or chargebacks
- Fraud or suspected fraudulent activity
- Unauthorized account activity
- Material violation of the Terms or EULA
- Abuse of the Service
- Security concerns
- Other circumstances permitted by the applicable agreement
Where appropriate and legally permitted, we may provide the customer an opportunity to resolve the issue before permanent termination.
16. Subscription Termination
Frank System Inc. may terminate a subscription where permitted by the Terms, EULA, applicable law, or other governing agreement.
Termination may result in the associated license being suspended, revoked, or otherwise disabled.
Termination resulting from fraud, abuse, unauthorized use, or a material violation does not create an automatic refund right.
17. Reinstatement or Reactivation
A suspended or expired subscription may be eligible for reactivation where the applicable plan remains available and the customer satisfies the requirements for reactivation.
Reactivation may require successful payment, updated billing information, resolution of an account issue, or purchase of a new subscription.
Reactivation is not guaranteed and may depend on the circumstances of the account.
18. Payment Processor
Subscription payments may be processed through Authorize.Net or another payment processor used by Frank System Inc.
Payment processing may be subject to the payment processor's own terms, policies, security controls, and technical requirements.
FSI Defence Security does not intentionally store complete payment card numbers or card security codes in its application database.
19. Billing Records
We may maintain records of subscription purchases, renewals, transaction identifiers, invoices, payment status, cancellation requests, refunds, disputes, and related billing information.
These records may be retained for accounting, fraud prevention, customer service, legal compliance, dispute resolution, and other legitimate business purposes.
20. Promotional Pricing and Discounts
Promotional pricing, discounts, introductory offers, or other special pricing may have additional terms and may be available only for a specified period or initial billing cycle.
Unless expressly stated otherwise, a promotional price does not necessarily remain applicable to subsequent renewal periods.
21. Free Trials or Promotional Trials
If Frank System Inc. offers a free or discounted trial in the future, the specific terms displayed with that offer will govern the trial.
A trial may convert into a paid subscription if the customer provides payment authorization and does not cancel before the applicable conversion date, where such conversion is permitted by applicable law.
22. Business and Enterprise Subscriptions
Business or enterprise customers may have different pricing, quantities, billing arrangements, contract terms, or renewal conditions established through a written agreement.
Where a separate written agreement applies, that agreement will govern to the extent of any inconsistency with this general policy.
23. Multiple Devices
Subscription plans may include a maximum number of supported devices.
Customers must not exceed the applicable device limit or circumvent licensing controls.
Device limits, license activation, and device management are also governed by the applicable plan and EULA.
24. Account Closure
Closing a customer account does not automatically cancel a subscription that has already been scheduled or processed.
Customers should separately confirm cancellation of any recurring subscription before closing an account.
25. Refunds
Refund requests are governed primarily by the Refund & Cancellation Policy .
In general, activation of a digital license affects refund eligibility, and cancellation of a recurring subscription does not automatically result in a refund of amounts already paid.
Mandatory rights provided by applicable law remain unaffected.
26. Chargebacks and Payment Disputes
Customers should contact Frank System Inc. if they believe a billing error has occurred so that the issue can be reviewed.
Nothing in this policy prevents a customer from exercising lawful rights through their bank, card issuer, payment provider, or applicable legal process.
Fraudulent or abusive payment disputes may result in account review, suspension, or termination where permitted by law.
27. Changes to Subscription Terms
Frank System Inc. may modify subscription plans, features, pricing, billing arrangements, or other subscription terms from time to time.
Where required by applicable law, customers will receive appropriate notice of material changes.
Continued use or renewal of the Service after an effective change may be subject to the revised terms, except where applicable law requires a different process.
28. No Waiver of Mandatory Rights
Nothing in this Subscription Policy is intended to exclude or limit any right, remedy, cancellation right, refund right, or protection that cannot lawfully be excluded or limited under applicable law.
